1. General Provisions

These Terms of Service (“Terms”) govern the relationship between you (“Client”) and Orpheus Studio, located at ul. Mazowiecka 24/3, 30-036 Kraków, Poland (“Studio”, “we”, “us”).

By engaging our services or using this website, you agree to these Terms.

2. Scope of Services

We provide digital design and development services, including but not limited to:

• Website design and development
• Brand identity and design systems
• Interactive and immersive web experiences (WebGL, 3D)
• CMS integration and content strategy
• Post-launch technical support

The specific scope, deliverables, and timeline for each project are defined in a separate project proposal or agreement.

3. Client Obligations

The Client agrees to:

• Provide necessary materials (logo, copy, images) in a timely manner
• Respond to feedback requests within agreed timeframes
• Ensure that all materials provided are free of third-party IP claims
• Make payments according to the agreed schedule

Delays caused by late delivery of materials or feedback may impact the project timeline and are not the responsibility of the Studio.

4. Payment Terms

We operate on a milestone-based payment structure:

• Standard projects: 50% deposit upon agreement, 50% upon delivery
• Larger projects: 40% upon agreement, 30% upon design approval, 30% upon delivery

Invoices are payable within 14 days of issue. Late payments may incur interest at the statutory rate under Polish law. The initial deposit is non-refundable once work has commenced.

5. Intellectual Property

Upon receipt of full payment, all intellectual property rights to the final deliverables are transferred to the Client, with the following exceptions:

• Third-party assets (fonts, stock images, libraries) remain subject to their respective licences
• The Studio retains the right to showcase the project in its portfolio, unless otherwise agreed in writing
• Pre-existing tools, frameworks, or code components created by the Studio before the engagement remain Studio property

Until full payment is received, the Studio retains all intellectual property rights to the work produced.

6. Warranty & Support

We provide a 30-day support period after project delivery, covering bug fixes and minor adjustments related to the original scope.

This warranty does not cover issues arising from:

• Client modifications to the delivered code
• Third-party service failures (hosting, APIs, CMS)
• Changes in browser standards or platform requirements
• New features or functionality outside the original scope

7. Limitation of Liability

To the maximum extent permitted by law, the Studio's total liability for any claims arising from a project shall not exceed the total fees paid by the Client for that project.

The Studio shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, data, or business opportunities.

8. Termination

Either party may terminate the engagement with 14 days' written notice. In the event of termination:

• The Client shall pay for all work completed up to the date of termination
• The Studio shall deliver all completed work and materials
• The initial deposit is non-refundable

Either party may terminate immediately in the event of a material breach that remains uncured for 14 days after written notice.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of the agreement. Exceptions apply where disclosure is required by law or where information enters the public domain.

10. Governing Law & Disputes

These Terms are governed by the laws of Poland. Any disputes arising from these Terms or related services shall be submitted to the courts of general jurisdiction in Cracow, Poland.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Existing project agreements remain subject to the Terms in effect at the time of signing.
